Terms & Conditions

1. Acceptance of Terms

By accessing or using the services provided by Coastal Freight System Inc. (“we,” “us,” “our”), you agree to comply with and be bound by these Terms & Conditions (“Terms”). If you do not agree with any part of these Terms, you must not use our services.


2. Services Overview

Coastal Freight System Inc. offers warehousing, storage, transloading, and cross-docking services (“Services”). Any use of additional services will be subject to applicable additional terms.


3. Warehouse Liability Disclaimer

Coastal Freight System Inc. assumes limited liability for goods stored, transloaded, or cross-docked at our facilities. The maximum liability for loss or damage to goods under our care, custody, and control is limited to $25,000 per occurrence, unless otherwise agreed to in writing.

Clients are strongly encouraged to maintain their own insurance coverage for any goods handled by Coastal Freight System Inc., as we do not accept liability beyond the stated limit. This limitation applies to all Services provided. By using our services, you acknowledge and accept this limitation of liability.


4. Client Responsibilities

  • Provide accurate declarations of contents, value, special handling instructions, and insurance requirements.
     
  • Comply with all applicable laws and regulations regarding goods protection, labeling, and handling.
     
  • Arrange and maintain all necessary insurance for any goods exceeding our liability limit.
     

5. Rates & Payment

  • Services are billed according to our current rate schedule, which may be updated with prior notice.
     
  • Invoices are payable within 30 days of receipt unless otherwise agreed in writing.
     
  • Late payments will incur a service charge of 1.5% per month on unpaid balances.
     

6. Title & Risk of Loss

Title to goods remains with the shipper or owner. Risk of loss transfers to Coast Freight upon receipt of goods into our facility, and reverts to the shipper, consignee, or owner upon successful delivery or transfer for transport.


7. Access & Security

  • Access to the warehouse is limited to authorized personnel only.
     
  • Clients must pre-arrange pick-up/drop-off appointments with at least 24 hours’ notice.
     
  • Coastal Freight reserves the right to refuse access, halt goods movement, or apply additional fees for non-compliance, including security breaches.
     

8. Indemnification

Clients agree to indemnify, defend, and hold Coastal Freight System Inc., its affiliates, and employees harmless from any claims, losses, damages, liabilities, and expenses (including attorneys’ fees) arising from you or your agents’ breach of these Terms, negligence, or misuse of the warehouse facilities.


9. Termination

  • Either party may terminate Services by providing 30 days’ written notice.
     
  • Coastal Freight may immediately suspend Services if client payment obligations are not met.
     
  • Upon termination, outstanding fees and charges remain due immediately.
     

10. Force Majeure

Coastal Freight is not liable for delays or failures caused by events outside our control (e.g., natural disasters, government actions, labor strikes, pandemics). In such events, performance times may be extended accordingly.


11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles.


12. Amendments

We reserve the right to modify or update these Terms at any time. Updated Terms will be posted on this page and effective upon posting. Continued use of our Services constitutes acceptance of the revised Terms.
